Terms & Conditions

Please read these terms carefully before engaging our vehicle importation services or using our website. By proceeding, you agree to be bound by these terms.

These Terms and Conditions ("Terms") govern your relationship with IMPORTS BY WILPHIL, a vehicle importation company operating in Kenya. References to "we", "us", or "our" refer to IMPORTS BY WILPHIL; references to "you" or "client" refer to the person or entity engaging our services.

1. Acceptance of Terms

By accessing or using the IMPORTS BY WILPHIL website (importsbywilphil.co.ke) or engaging our vehicle importation services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IMPORTS BY WILPHIL concerning your use of our website and services. We reserve the right to modify these Terms at any time, with updates taking effect upon publication on this page.

2. Our Services

IMPORTS BY WILPHIL provides vehicle importation services in Kenya, including but not limited to:

- Vehicle Sourcing: Identifying and procuring specific vehicles from international markets (Japan, UK, UAE, South Africa, and others) based on client specifications.

  • Shipping & Logistics: Arranging ocean freight and managing the transportation of vehicles to the Port of Mombasa or any agreed point of delivery.
  • Customs Clearance: Facilitating customs declaration, duty payment, and release of vehicles through Kenya Revenue Authority (KRA) on behalf of the client.
  • Vehicle Inspection: Conducting or arranging pre-shipment inspection services to verify condition, mileage, and specifications.
  • Local Stock Sales: Selling vehicles already physically present in Kenya.

The scope of services, fees, and timelines for each client engagement are agreed upon individually and documented in a formal quotation or service agreement.

3. Quotations, Pricing & Payment

Quotations: All prices and quotations provided by IMPORTS BY WILPHIL are estimates based on prevailing exchange rates, shipping schedules, and duty tariffs at the time of inquiry. Prices are subject to change and are not binding until a formal written agreement or pro-forma invoice has been issued and accepted by the client.

Deposits & Payments: A non-refundable deposit — typically 30% to 50% of the quoted total — is required before vehicle sourcing or procurement commences. The balance is due prior to shipment or collection of the vehicle, unless otherwise agreed in writing.

Currency: Transactions may be quoted in Kenyan Shillings (KES), US Dollars (USD), or Japanese Yen (JPY). Exchange rate fluctuations between the date of quotation and date of payment may affect the final amount payable.

Taxes & Duties: Import duty, excise duty, VAT, and any other government levies are the client's responsibility unless explicitly stated otherwise in the agreed quotation. IMPORTS BY WILPHIL will not be liable for changes in applicable rates after a quotation has been issued.

4. Delivery & Timelines

IMPORTS BY WILPHIL will provide estimated timelines for vehicle sourcing, shipping, and delivery at the time of engagement. These timelines are estimates only and may be affected by:

- Availability of the specific vehicle in the source market

  • Port congestion or vessel scheduling delays
  • Customs clearance processing times at the Port of Mombasa
  • Force majeure events (see Section 9)

We are not liable for delays arising from factors beyond our reasonable control. We will communicate any known delays promptly and work diligently to resolve them as quickly as possible.

Clients are expected to make arrangements for final collection or delivery within 7 days of being notified that their vehicle has cleared customs. Storage fees may apply for vehicles not collected within this period.

5. Vehicle Condition & Inspection

Pre-Shipment Inspection: Where a pre-shipment inspection is arranged, IMPORTS BY WILPHIL will share the inspection report with the client prior to purchase confirmation. Once the client approves the report and authorises the purchase, the sale proceeds on an "as inspected" basis.

No Warranty: Unless expressly stated in writing, vehicles are sold in an "as-is" condition without manufacturer warranty. IMPORTS BY WILPHIL does not provide any warranty as to the fitness for purpose, reliability, or future performance of any vehicle.

Photographs & Descriptions: Photographs, descriptions, and specifications provided during the sourcing or listing process are for informational purposes and represent the vehicle at the time of inspection. Minor discrepancies may exist, and IMPORTS BY WILPHIL accepts no liability for such variations.

Clients are strongly encouraged to conduct their own inspection upon delivery and to raise any concerns within 48 hours of collection.

6. Client Obligations

To ensure a smooth importation process, clients are required to:

- Provide accurate personal information, including full legal name, ID/passport number, and KRA PIN, as required for customs documentation.

  • Respond promptly to requests for documentation, approval, or payment within agreed timelines.
  • Ensure sufficient funds are available for deposits and balance payments as per the agreed schedule.
  • Arrange adequate insurance for the vehicle from the time of delivery.
  • Comply with all applicable Kenyan laws and regulations regarding vehicle registration, road worthiness, and insurance.

Failure to fulfil these obligations may result in delays, additional storage costs, or cancellation of the service agreement.

7. Cancellation & Refunds

Client-Initiated Cancellation: If a client cancels after a vehicle has been sourced or purchased, the deposit paid is non-refundable. Additional costs already incurred (e.g., shipping booking fees, inspection fees) may also be charged.

If a client cancels before a vehicle has been sourced and no costs have been incurred, IMPORTS BY WILPHIL will refund any deposit paid at its discretion, less an administrative fee.

IMPORTS BY WILPHIL-Initiated Cancellation: If IMPORTS BY WILPHIL is unable to source the specified vehicle within an agreed timeframe, or if unforeseen circumstances prevent the completion of the service, we will notify the client and provide a full refund of any deposits paid, with no further liability on either party.

Refund Processing: Refunds, where applicable, will be processed within 14 working days via mobile money, bank transfer, or the original payment method.

8. Intellectual Property

All content published on the IMPORTS BY WILPHIL website — including but not limited to text, images, logos, videos, and graphic design — is the intellectual property of IMPORTS BY WILPHIL or has been used with appropriate authorisation.

You may not copy, reproduce, distribute, publicly display, or create derivative works from any content on this website without our prior written consent.

The IMPORTS BY WILPHIL name, logo, and associated brand marks are trademarks of IMPORTS BY WILPHIL and may not be used without written permission.

9. Limitation of Liability & Force Majeure

Limitation of Liability: To the fullest extent permitted by Kenyan law, IMPORTS BY WILPHIL shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our website or services, including but not limited to loss of income, loss of anticipated profit, or loss of use of a vehicle.

Our total liability to any client for any claim shall not exceed the total amount paid by that client for the specific service in question.

Force Majeure: IMPORTS BY WILPHIL shall not be liable for any failure or delay in performance of our obligations resulting from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, port strikes, shipping line disruptions, pandemics, war, or changes in customs regulations.

In such events, we will notify affected clients promptly and work to find a reasonable resolution.

10. Governing Law & Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Kenya.

Any disputes arising from or relating to these Terms, the use of our website, or the provision of our services shall be resolved through the following process:

- Step 1 – Amicable Resolution: The parties shall first attempt to resolve any dispute through direct negotiation in good faith within 30 days of the dispute arising.

  • Step 2 – Mediation: If the dispute is not resolved amicably, either party may refer it to a mutually agreed mediator.
  • Step 3 – Arbitration: If mediation fails, the dispute shall be submitted to binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act (Cap 49, Laws of Kenya).

Nothing in this clause shall prevent IMPORTS BY WILPHIL from seeking urgent injunctive or equitable relief from a competent court where necessary.
